Corporate and Business Law

Commercial Transactions and Litigation
The foundation of business transactions is “the Deal”. In an ideal world, every transaction would be completed without confrontation and every business would function without problems. Unfortunately, mistakes, misunderstandings, and intentional breaches can be common in the marketplace.

I am sensitive to the economic climate my clients face. While business disputes may invariably occur, I strive to avoid disputes whenever possible. I believe the best way to avoid disputes is to make the Deal iron-clad from the very beginning.

My clients range from entrepreneurs, to small proprietorships to large corporations. Commercial transactions include everything from business formation, shareholder agreements, buy-sell agreements, transfer agreements, shareholder or member restrictive agreements, licensing agreements, leases, transfers, and many other related transactions.

Commercial Transactions
I take a very personal and hands on approach to my business clientele because businesses face a variety of legal issues in their day to day operations. I offer a full range of business law services. I can be involved in the business clients’ operations as much or as little as the clients choose. Some of my services include the following:

Business organizations
Limited liability company formation
Partnership agreements
Domestic corporations
Buy–sell agreements
Reorganization or dissolution
Employment management and consulting contracts
Vendor contracts
Commercial real estate leases
Commercial Litigation

Mistakes happen in business, and unfortunately, so do intentional breaches of contract, when the breaching party intends not to perform under the contract. Seeking compensation for unfair losses as a result of the breach is as much a part of business life as the circumstances that cause such losses.

A solid contract goes a long way toward preventing litigation. Having a strong attorney who can actually help you enforce the deal when the time comes is just as important. In a business dispute, having an attorney with the experience to provide creative legal solutions that another attorney might miss can be critical to your case.

During litigation, I will keep you informed as your case moves through the system. In turn, this will leave you to focus on the needs of your business.

Some of the cases I handle include the following:

Breach of contract
Non-compete contract disputes
Trade secret claims
Domain name disputes
