The foundation of business transactions is “the Deal”. In an ideal
world, every transaction would be completed without confrontation
and every business would function without problems. Unfortunately,
mistakes, misunderstandings, and intentional breaches can be common
in the marketplace.
I am sensitive to the economic climate my clients face. While
business disputes may invariably occur, I strive to avoid disputes
whenever possible. I believe the best way to avoid disputes is to
make the Deal iron-clad from the very beginning.

large corporations. Commercial transactions include everything from
business formation, shareholder agreements, buy-sell agreements,
transfer agreements, shareholder or member restrictive agreements,
licensing agreements, leases, transfers, and many other related
